DJ-Smoove Terms of Service

 

1. Acceptance of Terms

This website, calldjsmoove.com (the "Site"), is owned and operated by DJ-Smoove ("we", "us", or "our"). By accessing or using the Site, you ("you", "your", or "user") agree to be bound by these terms of service and any additional terms that may apply (collectively, the "Terms"). If you do not agree to these Terms, do not use the Site.

2. Changes to the Terms

We reserve the right to change these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Site. Your continued use of the Site after the posting of revised Terms means that you accept and agree to the changes.

3. Use of the Site

You may use the Site for personal, non-commercial purposes only. You may not use the Site for any illegal or unauthorized purpose. You may not use the Site to transmit or post any content that is unlawful, harassing, threatening, harmful, obscene, or otherwise inappropriate.

4. Media Consent

  Purpose: DJ-Smoove desires to use certain media in which Participant may appear or be heard, including photographs, video recordings, and audio recordings ("Media"), for promotional purposes on DJ's website and social media.

Participant's Consent: Participant hereby gives DJ-Smoove the irrevocable right and permission to use, re-use, publish, and republish the Media in which Participant appears or is heard, in whole or in part, individually or in conjunction with other material, in any and all media now known or hereafter developed, for any lawful purpose, including for promotional purposes.

Release: Participant hereby releases, discharges, and agrees to hold harmless DJ-Smoove, and its officers, directors, employees, agents, and assigns, from any and all claims, demands, or causes of action that Participant may now or hereafter have by reason of anything contained in the Media.

Participant's Representations: Participant represents and warrants that (i) Participant has the full right and authority to enter into this Agreement, (ii) the Media does not infringe on any third party's rights, and (iii) the use of the Media by DJ-Smoove will not violate any law or regulation.

Acceptance: By booking DJ-Smoove, participant acknowledges that participant has read and understands the terms of this Agreement.

5. Proprietary Rights

All content on the Site, including text, graphics, logos, images, and software, is the property of DJ-Smoove or its licensors and is protected by copyright and other intellectual property laws. You may not use any content on the Site for commercial purposes without the express written consent of DJ-Smoove.

6. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Site or the information, content, materials, or products included on the Site. We do not warrant that the Site will be available at all times or will be free from errors or defects.

7. Limitation of Liability

In no event shall DJ-Smoove be liable for any damages of any kind arising from the use of the Site, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

8. Indemnification

You agree to indemnify and hold DJ-Smoove and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site, your violation of these Terms, or your violation of any rights of another.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

10. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be resolved through negotiation and mediation in good faith. If the parties are unable to reach a resolution through negotiation and mediation, the dispute shall be finally settled by arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of California.

11. Miscellaneous

These Terms constitute the entire agreement between you and DJ-Smoove with respect to the use of the Site. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect. The failure of DJ-Smoove to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations
